Gail’s public communications on Israel/Palestine have been reactive and defensive, centred on denying Israeli ownership or state ties rather than making a proactive statement on the conflict; following vandalism in February 2026, the company stated that it was “a British business with no links to any country or government outside the UK.”^{1, 2} CEO Tom Molnar said the business was focused on “feeding people better” and described disruption attempts as “unkind and ill-informed.”¹ In September 2024, Molnar called claims that Gail’s supports Israel “completely ridiculous,” while distinguishing the company’s stated Jewish roots from Israeli ownership.³

Operations in Occupied or Contested Territories

At the investor level, Bain Capital Ventures led Dream Security’s $100 million February 2025 Series B. Dream describes itself as a Tel Aviv-headquartered AI cybersecurity company serving nations and critical infrastructure, with offices in Tel Aviv, Vienna, and Abu Dhabi; it reported 2024 sales to governments and national cybersecurity organisations, and Bain Capital Ventures partner Enrique Salem joined its board in connection with the round.¹³ The release does not identify Israeli state, military, settlement, or occupied-territory customers. It therefore supports an Israel-domiciled technology investment by Bain Capital Ventures, but not a settlement operation, Israeli military contract, or Gail’s operational connection.¹³

Bain Capital Ventures also stated in December 2023 that it had invested in Armis and led Redis Labs’ Series A and E rounds, while intending to devote further resources to Israel’s startup ecosystem.¹⁰ The reviewed corporate and Companies House material does not show that Bain Capital Ventures directly owned or managed Gail’s, held a direct legal stake in Bread Holdings, or directed Gail’s operations.^{7, 9, 14, 10}

Gail’s has nevertheless been the subject of a recurring civil-society boycott and vandalism campaign since at least August 2024. The Bakers, Food and Allied Workers Union alleged that Gail’s used CCTV footage to find grounds to discipline workers. Gail’s denied this, saying CCTV was used only for safety and standards purposes.^{29, 30} Workers at the Bermondsey branch filed a collective grievance in May 2025 concerning understaffing and overwork, and at least two workers reported reduced hours after doing so; management denied intimidation or trade-union detriment.³⁰ Luke Johnson has previously characterised unions as representing “destructive and unrealistic behaviour.”³⁰

Bread Holdings Limited is an active UK private limited company, incorporated on 21 March 2011, with SIC 10710 for manufacture of bread, fresh pastry goods and cakes. Its latest accounts are to 28 February 2025 and its latest confirmation statement is dated 22 March 2026.⁸ Bain Capital’s September 2021 announcement described Bread Holdings as parent of Gail’s Bakery and The Bread Factory, and said Bain Capital and EBITDA Investments invested while Luke Johnson remained invested and on the board.⁹

Companies House records Grain Bidco Limited as Bread Holdings’ sole current registered person with significant control, holding 75% or more of shares and voting rights and the right to appoint or remove directors.¹⁴ The registered control chain is Grain Topco Limited → Grain Midco Limited → Grain Bidco Limited → Bread Holdings Limited; Grain Topco’s register states that it knows of no registrable person or relevant legal entity above it.^{12, 33, 34} Accordingly, the public PSC registers establish the holding-company chain but do not identify Bain Capital, EBITDA Investments, or an individual as a registrable PSC of Grain Topco.^{9, 34}

The earlier shorthand that Gail’s is “Bain Capital majority-owned” should therefore be qualified: Gail’s identifies Bain Capital as an owner/investor but says no single investor has a majority stake, while the reviewed public filings identify Grain Bidco - not Bain Capital - as Bread Holdings’ registered controlling PSC.^{7, 9, 14} The reviewed evidence does not allocate ultimate economic interests above Grain Bidco.^{14, 12, 34}

GAIL’S Limited is an active UK private limited company, incorporated on 17 January 2007, with Bread Limited as its direct registered PSC holding 75% or more of shares.¹¹ Bread Factory Limited is likewise active, with Bread Limited as its direct registered PSC.³⁵ Bread Limited is an active, non-trading UK private company whose direct PSC is Bread Acquisitions Limited; the reviewed registry records did not establish the subsequent formal link between Bread Acquisitions and the Bread Holdings/Grain chain.³⁶

Gail’s Bakery Foundation CIC is an active community-interest company limited by guarantee, incorporated in 2020. Its current PSC record lists Gail’s Limited as exercising significant influence or control and Tom Molnar as an individual PSC with 75% or more voting rights and the right to appoint or remove directors.³² no public evidence identified of a state-held golden share, state mandate, or founding charter tying Gail’s mission to geopolitical infrastructure; the available corporate records support a commercial bakery and café-retail classification.^{7, 9, 8}

Executive & Leadership Footprint

Bread Holdings’ current directors include Luke Johnson, Thomas Molnar, and Andy Trigwell; Johnson and Molnar have each served since 11 April 2011, and Trigwell since 20 September 2017.¹⁴ GAIL’S Limited’s current directors include Nicholas Ayerst, appointed 7 July 2025, alongside Molnar and Trigwell.¹¹ Grain Topco’s current directors include Johnson, Henry McGovern, Molnar, and Nader Khamneipur, appointed 15 January 2026.³⁴

Companies House records Ran Avidan as a former director of Bread Holdings, GAIL’S Limited, and Bread Factory Limited; his historic entries recorded Israeli nationality and residence in Israel, and his resignation from each entity on 5 October 2021.
