Companies House records Tonic Nutrition Ltd as an active private limited company, incorporated on 27 August 2019 [pre-2020], with current SIC activities in pharmaceutical-product manufacture and other human-health activities.1 Companies House lists Sunna van Kampen and Bradley James Waldron as active directors; Sunna van Kampen is the sole active person with significant control disclosed there, holding more than 50% but less than 75% of shares and voting rights.2, 3 Tonic’s own site identifies Sunna van Kampen as founder and presents the business as a consumer health/supplement brand.4, 5

Current Tonic pages market consumer products including multivitamin gummies, children’s supplements, effervescent energy/hydration and immunity drinks, magnesium/rest products, and creatine products.4, 6, 7, 8, 9, 10 A retrievable mirror of UK trademark registration data records Tonic Nutrition Ltd’s TONIC mark for vitamins, dietary supplements, nutritional supplements and related food products.11 Independent trade coverage in 2025 describes Tonic Health as a UK supplement/wellness brand led by founder and CEO Sunna van Kampen.12, 13

A Boots-hosted Tonic Kids Multi package artwork states “Made in Israel for Tonic Nutrition Ltd.”14 This establishes a civilian product-manufacturing/origin link to Israel only. The label does not identify an Israeli defence/security end-user, military contract, defence programme, settlement location, or military use.14

One GOV.UK Armed Forces Covenant page titled “Tonic Health” was not attributed to this target. These percentages are calculations against the 290,695-share total in that filing and are not current October 2026 voting, beneficial-ownership or control percentages.25

The dates require separation. The Companies House filing index identifies the confirmation statement as at 26 August 2025 and the replacement filing index date as 6 May 2026; the replacement PDF records receipt on 24 April 2026 and original-document registration on 22 October 2025.25, 26 The current Companies House PSC record supplied by the root reports Sunna van Kampen in the greater-than-50%-and-less-than-75% bands for shares and voting rights, while the dated confirmation share register gives 100,000 of 290,695 registered shares, or 34.4003%. The supplied primary evidence does not reconcile those records, and no exact October 2026 ownership or voting percentage is inferred.25, 27

The articles were adopted on 23 June 2025 and filed on 21 July 2025. They treat A and B as separate ordinary-share classes ranking pari passu subject to stated exceptions. Article 7.3 provides one vote per Equity Share on a poll and contains no B-share vote multiplier.28, 26 The same articles define BSI Shareholders as Lucy Mercey and Joseph Wray and give them jointly one BSI Director appointment right while the specified holding condition continues; this is a joint right to one appointment, not two individual appointment rights or an individual absolute veto.28

Article 22.4 provides a director-appointment route for an Investor other than BSI holding, together with the permitted associated holdings specified by the articles, at least 5% of issued Equity Shares. The articles expressly provide aggregation treatment for Tom Singh with Anna Singh and for Ranjit Munro with Kuldip Singh Dhillon. On the dated 290,695-share register, Tom and Anna’s 25,727 shares exceed 5%, whereas Ranjit Munro and Kuldip Singh Dhillon’s combined 10,234 shares represent 3.5205%. Continuing holdings, status under the separate Shareholders’ Agreement, delivery of any appointment notice and actual exercise of any right are not established by these filings.25, 28

The articles define Investors and Major Investors by reference to a separate Shareholders’ Agreement, so the articles alone do not establish the complete individual membership of those contractual categories. Their Investor Majority definition concerns more than 50% of shares held by Major Investors rather than more than 50% of the company.28 Board quorum ordinarily includes the Founder Director and BSI Director to the extent appointed, but article 24 contains interested-director and adjourned-meeting exceptions, so the provision does not establish an absolute individual veto. Article 24.6 separately gives the eligible Founder Director a second or casting vote on tied board votes; this is a board right and does not create a B-share super-vote under article 7.3.28

The written resolution circulated on 1 April 2026 authorised the directors to allot up to 6,524 additional A Ordinary shares and disapplied the relevant pre-emption provision for that authorised allotment. The filing was registered on 14 May 2026. The resolution is authority to allot, not evidence that all or any of those 6,524 shares were actually issued, paid for or added to the current capital denominator.29

These ownership and governance records establish dated holdings and conditional governance rights only. They do not themselves establish a qualifying political/welfare, military-output, digital-technology or economic-capital/operations act by any shareholder, investor or related person, and they do not establish that any conditional appointment right was exercised. Absence of such evidence from these particular filings is not evidence that no such act or exercise exists elsewhere.25, 28, 29

Article 10.1 requires written majority class consent for variation or abrogation of special class rights, with combined-class treatment when classes are treated alike and exceptions under articles 10.2, 10.3 and 17.6. Sunna’s sole registered B holding makes this a relevant dated formal-right protection, not a universal transaction veto. The articles define SBS as the SidebySide EIS Venture Fund acting through WCS Nominees Limited, represented by The SidebySide Partnership International Limited; that definition does not alone reconcile all registered-holder labels or establish an observer seat, individual veto or beneficial percentage.25, 28

The root-supplied 26 August 2025 snapshot records Lucy Mercey and Joseph Wray at 13,001 A shares each; the articles define them jointly as the “BSI Shareholders” and give that pair a director-appointment right while they hold Equity Shares. That label/right does not prove the shares are beneficially owned by BRENDON STREET INVESTMENTS LIMITED or that the right has been exercised.30, 31 Fresh Companies House records show Lucy Penelope Mercey is an active director of BRENDON STREET INVESTMENTS LIMITED (01066133) and JUNO INVESTMENTS LIMITED (07659145), but those roles do not establish a beneficial bridge from her Tonic holding to either company.32, 33

A fresh Companies House lead shows Joseph Peter William Wray as an active director and PSC of BOOT ROOM HOSPITALITY LIMITED (15529393).34, 35 No opened public document in this bounded screen tied that full identity to the Joseph Wray in Tonic’s shareholder snapshot, so the records are not merged.30, 34, 35

The same snapshot records Tom Singh at 12,577 A shares and Anna Singh at 13,150 A shares; article 22.4 aggregates their holdings for the conditional ≥5% appointment test.30, 31 Rianta says it is investment adviser to Tom and his family and identifies Anna Singh as founder of Chinti & Parker.36 Companies House identifies RIANTA CAPITAL LIMITED as active overseas company FC027615 with open UK establishment BR009421 for investment advisory services; its current listed directors are Alastair James Alderton, Sarah Jane Cook and Louise Anne Griffin.37, 38 Companies House records Anna Mundeep Singh as an active director of CHINTI AND PARKER LIMITED (06568630), supporting that identity match without making Rianta the Tonic shareholder.36, 39

The snapshot separately records AWESOMEACTION LIMITED at 17,292 A shares.30 Companies House records Peter Noel Tighe as active director of AWESOMEACTION LIMITED (11166287) and former Tonic director; the root-supplied April 2026 resolution shows him signing for AwesomeAction, which is not treated as proof of beneficial ownership/control.40, 41 Fresh 6 October 2026 searches across these newly screened actors produced no opened public document establishing an attributable Israeli defence/security holding, board role, supply relationship or physical military-security output.32, 34, 36, 40 This is a bounded researched absence; private contracts, nominee positions, undisclosed holdings and unnamed LP exposure remain unresolved.36

Earlier named-investor screening - retained bounded findings

The secondary gritt.io Board Observer lead for SidebySide partner Ben Ashworth was screened for Israeli defence/security ownership, board roles and military-welfare support.42, 43 No public evidence was identified in the opened bounded source set; private, nominee or undisclosed fund exposure cannot be excluded.

For Wray, Brendon Street lists him as a director, but its PSC is Juno Investments Ltd; Juno’s filing history records Wray ceasing to be its PSC on 29 October 2024 and Royal Bank of Canada becoming PSC that day.44, 45, 46 Maccabi GB says Wray started its 10km Community Fun Run in 2022 and lent an Olympic torch to the Maccabiah delegation. Israel Bonds/World Zionist Organisation separately sponsored the Fun Zone, while Beit Halochem and JNF UK were participating charities.47 The source does not say Wray donated to, financed or held a role in those bodies. Nigel Wray is not a directly named holder in the dated register and beneficial/governance attribution through related vehicles remains unresolved; this is a potential-actor fact only and is not attributed to Tonic.

No opened document from the bounded Tom Singh/Rianta or Rubix screening established Israeli defence/security ownership, board roles or military-welfare donations. Rianta’s unnamed LP positions mean indirect exposure cannot be excluded.48
