Scope and entity resolution
The audited group is SentinelOne, Inc. and its consolidated subsidiaries. SentinelOne, Inc. was incorporated in Delaware in January 2013 and has its principal executive offices in Mountain View, California; its 2026 Form 10-K states that references to SentinelOne include its subsidiaries.1 The current subsidiary exhibit lists Sentinel Labs Israel Ltd. and Prompt Security Ltd. as Israeli group companies and states that every listed entity is wholly owned by its parent.2 Israeli business press describes SentinelOne as Israeli-founded in 2013 by Tomer Weingarten and Almog Cohen; that entrepreneurial origin is distinct from the U.S. legal incorporation shown in SEC filings.3, 4
Founder Tomer Weingarten remained co-founder, president, chief executive officer and board chair in 2026.5 As of 30 April 2026, the proxy reported 29.18% of total voting power for Weingarten’s beneficial ownership, including 79.48% of the outstanding Class B shares; including separately disclosed shares subject to a voting proxy, the table reported 29.99% total voting power.5 The reviewed filings do not establish an Israeli parent company or majority Israeli beneficial ownership of the public parent.5
Supply Chain & Sourcing Relationships
SentinelOne describes its business as an AI-powered cybersecurity platform provider that generates most revenue from subscriptions and fulfills substantially all sales through channel partners such as distributors, resellers and managed security service providers.1 no public evidence identified in the reviewed corporate filings or targeted searches of direct supplier, importer and produce terms of agricultural sourcing from Mehadrin, Hadiklaim, Galilee Export, Agrexco successors or other Israeli produce suppliers.1
No public evidence identified of a wholly owned importer-of-record entity for physical goods originating in Israel or occupied territory, recurring seasonal agricultural procurement, or Israeli-origin private-label goods reaching SentinelOne through third-party distributors.1 The disclosed channel structure concerns software sales and services rather than a physical retail inventory chain.1
Capital and technology sourcing are more relevant. SentinelOne launched S Ventures in September 2022 as a $100 million fund for security and data companies.6 Israeli business reporting identified Israeli startups Torq and Laminar among its initial portfolio.7 SentinelOne subsequently disclosed an S Ventures investment in Guardz, and June 2025 Israeli business reporting identified Guardz as an Israeli cybersecurity startup and SentinelOne as an existing investor in its $56 million Series B.8, 9 Public sources reviewed did not disclose SentinelOne’s percentage ownership or cash amount in those individual venture positions.8, 9
Product Origin, Labeling & Regulatory Compliance
No public evidence identified of SentinelOne selling agricultural, food or other physical consumer goods for which settlement-origin or country-of-origin labeling would apply. Its SEC-described products are cybersecurity software subscriptions and related modules.1 Accordingly, no public evidence identified of regulatory citations, customs findings or corporate labeling policies concerning goods labeled “Produce of Israel” or goods originating in West Bank settlements, East Jerusalem settlements or the occupied Golan Heights.1
The 2024 Don’t Buy Into Occupation report contains no SentinelOne match, and the UN-hosted 2025 A/HRC/59/23 report did not return a SentinelOne match on direct text search.10, 11 These document checks do not prove universal absence from all settlement commerce; they establish only that SentinelOne was not identified in those reviewed materials.10, 11
Investment, Capital & Financial Exposure
SentinelOne’s Israeli operating investment is material and current. At 31 January 2026 it reported $10.681 million of long-lived assets in Israel, compared with $15.823 million at 31 January 2025.1 It also operated Sentinel Labs Israel Ltd. as a wholly owned Israeli subsidiary.2 The 2025 subsidiary exhibit identified Sentinel Labs Israel Ltd. at 121 Menachem Begin Road, Sarona Tower, 38th Floor, Tel Aviv.12
Two acquired Israeli operating identities were identified. First, SentinelOne acquired 100% of Stride Security Ltd. on 1 February 2024 for a $7.5 million purchase price to add security automation to its platform; an earlier disclosure also described approximately $7.5 million of additional amounts tied to continued employment.13, 14 SentinelOne’s February 2024 subsidiary exhibit lists Stride Security Limited as an Israeli wholly owned subsidiary at Nahalat Binyamin 39, Tel Aviv.15 Stride does not appear as a separate company in the 2026 subsidiary exhibit; the reviewed retrievable primary sources do not specify the corporate reorganization by which it ceased being separately listed.2, 15
Second, SentinelOne completed the acquisition of Prompt Security, Inc. on 5 September 2025.16, 12 The transaction 8-K described cash and SentinelOne Class A shares totaling approximately $180 million at closing.12 The later purchase-accounting disclosure reported acquisition of 100% of Prompt shares for approximately $133.6 million in cash, 1,555,099 Class A shares and 415,109 assumed options, with $159.304 million shown as fair value of total consideration transferred.16 SentinelOne’s current subsidiary exhibit lists Prompt Security, Inc. in Delaware and Prompt Security Ltd. in Israel as wholly owned within the group.2 SentinelOne’s October 2025 DPA identifies Prompt Security Ltd. at Beit Rubinstein, Lincoln Street 20, second floor, Tel Aviv-Yafo.17 Israeli business reporting independently described Prompt Security as an Israeli startup.18 SentinelOne’s announcement states that Prompt was acquired to extend AI-runtime security capabilities.19
S Ventures is a separate minority/venture investment channel rather than an operating-subsidiary acquisition program.6 Its disclosed Israeli startup investments include Torq and Laminar at launch and Guardz thereafter.7, 8, 9 no public evidence identified in the reviewed sources of SentinelOne underwriting Israeli sovereign debt or Israel Bonds, holding an Israel-focused public-markets fund for treasury purposes, providing settlement-enterprise lending, or underwriting insurance. SentinelOne’s disclosed business is cybersecurity software, not banking, asset management or insurance.1
Operational Presence & Market Activity
SentinelOne’s Tel Aviv presence is an engineering and technical footprint. The 2026 Form 10-K states that the Tel Aviv office benefits from Israel’s concentration of cybersecurity experts and draws from Israeli military cybersecurity and intelligence experts, product specialists and other technical talent.1 As of 31 January 2026 SentinelOne had over 2,900 full-time employees worldwide and approximately 11% of its personnel in Israel.1 This establishes continuity of the Israeli operating footprint into the post-2024 period.1
Israeli labor-law costs are separately visible. SentinelOne reported $3.6 million, $3.4 million and $3.5 million of severance expense for Israeli employees in fiscal 2026, 2025 and 2024 respectively.1 Its 2026 annual report also recorded Great Place to Work certification for Israel for December 2025 through December 2026, further confirming an active employment footprint.1
Domestic market activity is visible through institutional procurement. Yezreel Valley College published tender 05/25 for supply, implementation and maintenance of SentinelOne endpoint and server protection products.20 This establishes a 2025 Israeli institutional procurement opportunity, but the reviewed source does not establish an IDF, Ministry of Defense or Israeli central-government contract.20
For post-2024 continuity, SentinelOne stated in its 2026 Form 10-K that it maintained an office in Tel Aviv, had approximately 11% of personnel in Israel, and had implemented continuity measures while continuing armed conflict had not, to that filing date, adversely affected business results.1 The July 2026 Form 10-Q further shows continuing Israeli tax payments and shekel exposure, including a $30.7 million installment paid under the Israeli Tax Authority agreement in the first half of fiscal 2027.21
No public evidence identified in the reviewed sources of a SentinelOne office, subsidiary, warehouse or registered operating facility in a West Bank settlement, an East Jerusalem settlement or the occupied Golan Heights.2, 10, 11 no public evidence identified in the reviewed sources of direct SentinelOne sales or service contracts specifically to settlements.10, 11
Corporate Structure & Foundational Ties
The legal parent is U.S.-domiciled: SentinelOne, Inc. was incorporated in Delaware in January 2013 and is headquartered in Mountain View.1 Its 2021 IPO prospectus already described a Tel Aviv office and recruitment from Israel’s military cybersecurity and intelligence talent pool, showing that the Israeli R&D/engineering relationship predates the current reporting period.4 CTech described the company as Israeli-founded by Tomer Weingarten and Almog Cohen in 2013.3
Sentinel Labs Israel Ltd. is the enduring Israeli group entity.2 The current group also includes Prompt Security Ltd. in Israel after the 2025 Prompt acquisition.2 Stride Security Ltd. was a separate Israeli acquisition in 2024; SentinelOne’s February 2024 subsidiary exhibit listed it as a wholly owned Israeli subsidiary in Tel Aviv, while the 2026 exhibit no longer lists it separately.15, 2
The 2026 proxy shows a dual-class ownership structure with substantial founder voting influence rather than a state governance mechanism.5 no public evidence identified in reviewed filings of Israeli state ownership, an Israeli government-appointed director, a golden share, an Israel-specific charter restriction, or Preferred Technology Enterprise status.1, 5 no public evidence identified of a direct IDF or Israeli Ministry of Defense procurement contract in the sources reviewed. The company’s disclosed use of Israeli military cybersecurity and intelligence talent is an employment/talent fact and does not by itself establish a government customer relationship.1
Profit Repatriation & Economic Contribution
SentinelOne does not disclose Israel as a separate revenue geography. For fiscal 2026 it reported $610.006 million of U.S. revenue and $391.272 million of international revenue; no single country other than the U.S. represented 10% or more of revenue in fiscal 2026, 2025 or 2024.1 Israel-only revenue and operating profit therefore cannot be derived from the published geographic table.1
The clearest published intercompany economic flow is the Israeli tax and intellectual-property arrangement. On 8 January 2026 SentinelOne entered an assessment agreement with the Israeli Tax Authority covering transfer pricing between the U.S. parent and Sentinel Labs Israel Ltd., including valuation and taxation of intergroup use of the Israeli subsidiary’s intellectual property for fiscal 2021-2025.22 The same filing stated that the agreement also resolved the tax impact of aligning Prompt’s intellectual property after the September 2025 acquisition.22
SentinelOne recorded $180.9 million of Israeli Tax Authority-related expense including interest in fiscal 2026.1 By 31 July 2026 it reported $186.3 million of cumulative expense including interest, a $30.7 million installment paid during the first half of fiscal 2027, installment obligations through fiscal 2031 at 7% annual interest, and a liability denominated in Israeli shekels; it also had $162.5 million notional value of foreign-currency forward contracts used to manage that shekel tax-liability exposure.21 These disclosures establish significant tax cash flows to Israel and intercompany IP valuation between the U.S. parent and its Israeli subsidiary, but they do not disclose a simple recurring profit-repatriation ratio from Israel to the parent or from global operations into Israel.22, 21
No public evidence identified in the reviewed sources of settlement-specific revenue, settlement-specific profit, Israeli sovereign-debt underwriting, or a separate published amount of Israeli income tax outside the disclosed ITA settlement and normal consolidated tax reporting.1, 22, 21, 10, 11
